LEGATE Advised on the Sale of a Dental and Implantology Group

LEGATE successfully provided legal advice to the client in connection with the sale of a 100% ownership interest in the modern dental clinic Lindau Aesthetic, which provides a broad range of dental and implantology services, as well as the sale of a 100% interest in an affiliated company holding key assets necessary for its operations.

The transaction required intensive cooperation with ProRate in relation to the valuation of the target companies, as well as coordination with investment intermediaries in order to approach relevant investors interested in acquisitions within the healthcare sector.

Our legal assistance included conducting a limited pre-acquisition sell-side legal due diligence, preparing comprehensive transaction documentation, separating the client’s risks from the business activities of the target companies, monitoring the fulfilment of conditions precedent following the signing of the transaction documentation, and assisting with the transfer of ownership interests and completion of the transaction, including registrations with the relevant authorities.

The transaction was successfully completed in mid-March 2026.
